These are the terms of use ("Terms of Use") for your use of services or features on the sites owned and controlled by Direct Distributors, LP DBA Razor Blade Company ("The Razor Blade Co."), including www.razorbladeco.com. You may be accessing our Sites from a computer or mobile phone device and these Terms of Use govern your use of our Sites and your conduct, regardless of the means of access.
By using the Sites, you signify your agreement to these Terms of Use, our Privacy Policy and our Guidelines and Rules, whether or not you have read them. If you do not agree with any of these, you should not use our Sites.
The Razor Blade Co. reserves the right to change or modify any of the terms and conditions contained in the Terms of Use, Guidelines and Rules from time to time at any time, without notice, and in its sole discretion. If The Razor Blade Co. decides to change these Terms of Use, The Razor Blade Co. will post a new version on the Sites and update the date set forth above. Any changes or modifications to these Terms of Use, Guidelines or Rules will be effective upon posting of the revisions. Your continued use of the Sites following posting of any changes or modifications constitutes your acceptance of such changes or modifications and if you do not agree with these changes or modifications, you must immediately cease using the Sites. For this reason, you should frequently review these Terms of Use, our Guidelines and Rules and any other applicable policies, including their dates, to understand the terms and conditions that apply to your use of the Sites.

The compilation (meaning the collection, arrangement and assembly) of all content on the Sites is the exclusive property of The Razor Blade Co. and protected by U.S. and international copyright laws. Permission is granted to electronically copy and to print in hard copy portions of the Sites for the sole purpose of placing an order with The Razor Blade Co., using the Interactive Services or using the Sites as a shopping resource. Any other use of materials on the Sites - including reproduction for purposes other than those permitted above, modification, distribution, republishing, transmission, display or performance - without the prior written permission of The Razor Blade Co. is strictly prohibited.
Trademarks
Razorbladeco.com, and all page headers, custom graphics and button icons are service marks, trademarks, and/or trade dress of The Razor Blade Co. and may not be used in connection with any product or service that is not offered by The Razor Blade Co. in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits The Razor Blade Co. All other trademarks, product names and company names or logos cited herein are the property of their respective owners.
Product Information
The products displayed on the Sites can be ordered and delivered only within the U.S. The Razor Blade Co. products displayed on the Sites may be available in select foreign markets, call for confirmation. Products designated as "Free Shipping" only apply to orders shipped within the continental United States. All prices displayed on the Sites are quoted in U.S. Dollars and are valid and effective only in the U.S. Reference to any products, services, processes or other information by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by The Razor Blade Co. All material and information presented by The Razor Blade Co. is intended to be used for informational purposes only.
Reservation of Rights
The Razor Blade Co. reserves the right, at any time, without notice and in its sole discretion, to terminate your license to use the and the Sites and to block or prevent your future access to and use of the Site. The Razor Blade Co. may access, preserve and disclose your account information and Content if required to do so by law or in a good faith belief that such access, preservation or disclosure is reasonably necessary to (i) comply with legal process; (ii) enforce these Terms of Use, (iii) respond to claims that any Content violates the rights of third parties, (iv) respond to your requests for customer service, or (v) protect the rights, property or personal safety of The Razor Blade Co. (and its employees), its users and the public.
Prices
Some products and services available through or in connection with this Site require that you pay a fee. You hereby authorize The Razor Blade Co. and its merchant provider to charge your credit card in advance for all applicable fees incurred by you or on your behalf in connection with the product or service you have chosen to use. You are solely responsible for all charges, fees, duties, taxes, and assessments arising out of any use of your account by you or anyone else using your account. The Razor Blade Co. reserves the right to change the amount of, or basis for determining, any fees or charges for services it provides, and to institute new fees, charges, or terms effective upon prior notice to customers. The Razor Blade Co. reserves the right to terminate any account at any time for any reason. If Customer has reason to believe that Customer’s account is no longer secure (for example, in the event of a loss, theft or unauthorized disclosure or use of Customer’s ID, password, or any credit, debit, or charge card number stored), notify the Company of the problem to avoid possible liability for any unauthorized charges to Customer’s account.
Any prices that may be found on the website or other material distributed by us are for immediate purchase only and are subject to change or correction without notice. Prices listed on the RazorBladeCo.com website shall not constitute a quotation for future purchase. Prices do not include sales taxes. Sales tax is only collected in California
Order Acceptance
All orders are subject to a minimum order policy of $50. All orders are subject to our acceptance and availability of product. Canadian orders, as with other international orders may be subject to an order compliance review which includes, but is not limited to observing import restrictions imposed by Customer's government. We reserve the right to not fulfill an order, restock an order, replace any order due to legal restrictions. It is our intent to deliver your order promptly. We will not be liable for damages due to delivery delays of any kind.
Freight Charges / Order Charges
If we advertise a flat charge to ship, then we will bill only for that amount. The amount of any freight or handling charges will be stated prior to requesting your payment information. Also, at times, we may impose a small order charge. If we do, you will be advised prior to submitting your payment information. International Orders may be charged tariffs, brokers fees, or other import fees which are the responsibility of the customer. We will attempt to make these known but disclaim any responsibility for them. Returns due to these costs will be subject to a restocking fee.
Returned Goods Policy
Material may not be returned without our prior authorization. We will give full credit for merchandise returned due to defects, subject to the terms of the manufacturer's warranty. We will also issue full credit for returns due to errors by us provided your request is made within seven days of your receipt of the merchandise. Returns due to customer error or change in requirements may be subject to a 30% restocking charge; outbound freight not originally billed to the customer and return freight charges. We also reserve the right to refuse return authorization. Return authorization may be requested emailing Info@RazorBladeCo.com. We reserve the right to refuse unauthorized returns. Only unopened and unused products will qualify for full return credit. We reserve the right to bill the customer for incomplete, damaged, or partially used product returned for reasons other than warranty, defects, or errors on our part. Custom products may not be returned. Orders for custom products that are cancelled may be billed partially, or in complete at our discretion. We will be reasonable in the exercising of this right. We will also provide lead times for custom orders. The default lead time is 8 weeks though short lead times are typical and possible. We will make reasonable efforts to make customer aware of delays via email or phone. Changes in custom specifications may also incur a price change. Should the change occur, we reserve the right to bill for the entire or partial bill depending on our progress.
Freight Claims
All shipments are made FOB shipping point. In the event of loss or damage to a shipment, you must note any shortages or damages on the delivery receipt, and then request the delivering carrier to make an inspection. A claim must then be filed on the carrier without delay. Claims for concealed loss or damage must also be filed with the carrier immediately upon discovery. While we do not assume any responsibility for freight claims, we will provide reasonable assistance to help you bring about settlement with the transportation company.
Payment Terms
All sales are subject to payment at time of order placement. We accept Visa, MasterCard, Discover, and American Express. You may also mail a paper check after entering your order. Companies may submit a credit application for terms for use with Corporate PO. Terms are extended on a select basis uses special criterion, including running credit, financial background check and references. Terms are also not generally extended for orders less than $1,000.00, though exceptions can be made on a petition basis. It is our desire to work with you and resolve to finding the most effective way to do so.
Warranties
We warrant that all goods sold are free of any security interest or other lien and will in addition make available to you all transferable warranties made to us by the manufacturers of the goods. The Razor Blade Co. makes no other express or implied warranties and specifically makes no implied warranties of merchantability or fitness for purpose.
No Responsibility for Information Provided
Product information contained on The Razor Blade Co.'s website is derived from publications of the product manufacturers and associated information from manufacturer's websites. This information is necessarily based upon approved code installation and use under proper working conditions. We assume no responsibility by reproducing such information, and in no way do we offer a guarantee, expressed or implied, on any product.
Governing Law
Any transactions arising out of the buyer's use of this website or otherwise initiated with The Razor Blade Co. shall be governed by and construed in accordance with the internal laws of the State of California applicable to agreements made and to be performed entirely within that State, without regard to the conflicts of laws principles of California.
Shipping Information
Our goal is to ship orders for in-stock items the same day or next business day depending upon time of receipt and processing requirements. Due to the cost of shipment, we do not ship to destinations outside the 48 Continental United States unless specific arrangements have been made. Items shipped outside of the 48 Continental United States do not qualify for free shipping. We also will not ship to PO Boxes. We most often ship your order via FedEx. However, at our option, we may also ship via a common carrier such as UPS. We may also ship via mail. If you want to check the status of a shipment, please e-mail us at: info@RazorBladeCo.com. We will provide you with a shipping date, order number, method of shipment and tracking information.
Indemnification
You agree to defend, indemnify and hold harmless The Razor Blade Co. (and its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers), from all claims, demands, losses, liabilities, costs, expenses, obligations and damages of every kind and nature, known and unknown, including reasonable legal fees, arising out of (a) your use of and access to the Site Services; (b) your violation of any term of these Terms of Use; (c) a breach of your representations and warranties set forth above regarding Content; (d) your violation of any law or the rights of a third party (including, without limitation, any copyright, property or privacy right); or (e) any claim that any Content you submitted caused damage to a third party. This indemnification obligation will survive the termination of these Terms of Use and your use of the Sites and the Interactive Services.
Applicable Law
The Site is created and controlled by The Razor Blade Co. in the State of California, U.S.A. As such, the laws of the State of California will govern these Terms of Use, without giving effect to any principles of conflicts of laws. The Razor Blade Co. reserves the right to make changes to its Web site and these Terms of Use at any time.

Fraud Protection Program
As part of our order processing procedures, we screen all received orders for fraud or other types of unauthorized or illegal activity. We reserve the right to refuse to process an order due to suspected fraud or unauthorized or illegal activity. If such is the case, we may reject your order or our Customer Service department may call you at the phone number you provided (or use your email address) to confirm your order. We also reserve the right to cancel any accounts or refuse to ship to certain addresses due to suspected fraud or unauthorized or illegal activity. We take these measures to protect our customers as well as ourselves from fraud or other unauthorized or illegal activity.
General
Any claim or dispute between you and The Razor Blade Co. that arises in whole or in part from the Site shall be decided exclusively by a court of competent jurisdiction located in Ventura County, California. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and The Razor Blade Co.'s failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. It is the express wish of the parties that these Terms of Use and all related documents be drawn up in English. TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU AND THE RAZOR BLADE CO. AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITES AND THE INTERACTIVE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
